1. Who these terms apply to
These terms apply to every merchant ("you") that uses RapidXpk ("we", "us") for ecommerce fulfillment, warehousing or delivery in Karachi.
Your rates, payment schedule and any service details specific to your business are set out in your signed agreement or written quotation. If anything in your agreement differs from these terms, your agreement applies.
2. Our services
- Receiving and processing your orders, based on the information you send us.
- Fulfillment packaging of your orders, where agreed.
- Dispatch and delivery of your customers' orders within the agreed service area.
- Processing and recording failed, refused, returned and re-delivery orders.
- Order, delivery and payment reporting and reconciliation.
3. Order information
Please send complete and accurate order details: customer name, contact number, delivery address, product or SKU, quantity, selling price where needed, and anything else we reasonably need to fulfil the order.
We process orders using the information you give us. We are not responsible for delays, failed deliveries or incorrect fulfillment caused by information that is incomplete, inaccurate, late or wrong.
4. Delivery
Our standard service is delivery within 24 hours of the order being confirmed, within the agreed service area. Your agreement lists the areas covered for your orders.
Delivery times can be affected by customer availability, incorrect addresses or phone numbers, traffic, weather, security conditions and other events outside our reasonable control.
5. Failed deliveries and returns
A delivery counts as failed when, after a reasonable attempt, the customer refuses the parcel, is unavailable or unreachable, the address is wrong, or something else outside our control prevents delivery. Attempted failed deliveries may be charged as set out in your agreement.
We keep records of every failed and returned order. Returns are handled according to your return policy and the procedure agreed with us.
6. Your stock in our care
You remain the owner of all products and stock you send us.
We take reasonable care of your products while they are in our custody.
We are not responsible for losses caused by defects in the product itself, inadequate or incorrect product information or packaging material supplied by you, prohibited or unlawful goods, or events beyond our reasonable control.
7. Packaging
Where fulfillment packaging is part of your service, we pack your orders. Unless agreed otherwise, you supply the product and the box or container it ships in, and you make sure both are suitable for handling and delivery.
8. Payments and reconciliation
Collected payments and our charges are settled on the schedule and by the method set out in your agreement.
If you find a discrepancy, please raise it within 10 days of receiving the relevant statement. We will work with you in good faith to resolve it using the available order and delivery records.
9. Prohibited and restricted goods
Do not send us illegal, prohibited, hazardous or restricted products. If a product needs special handling or legal authorization, tell us in writing and get our confirmation first.
If we reasonably believe an item is prohibited, unsafe, unlawful or materially different from its description, we may stop handling it and will let you know.
10. Your responsibilities
- Send accurate and timely order, product, SKU, price, quantity and customer information.
- Only send products that are lawful and permitted to be fulfilled and delivered.
- Supply products, and boxes or containers where agreed, that are suitable for delivery.
- Pay agreed charges within the agreed period.
- Tell us promptly about changes to products, prices, customers or how you operate.
11. Our responsibilities
- Process your orders using the information you supply.
- Carry out fulfillment packaging as agreed.
- Take reasonable care of your products while they are with us.
- Deliver within the agreed service area and our 24-hour service level, subject to the limits above.
- Keep reasonable records of orders, fulfillment and deliveries.
- Tell you about significant operational issues where reasonably practical.
12. Liability
Each of us is responsible for losses directly caused by our own proven negligence, wilful misconduct or material breach of these terms or the agreement, subject to the law of Pakistan.
Any claim should be supported by the relevant order, delivery, reconciliation or other available records. Nothing in these terms limits liability where the law does not allow it to be limited.
13. Confidentiality and customer data
We keep your non-public business information confidential, including your customers, prices, products and sales, and we expect the same of you. We only share it where needed to provide the service, where the law requires it, or with your written permission.
Customer names, phone numbers, addresses and order details are used only to fulfil and deliver your orders. We take reasonable measures to protect them from unauthorized access, and we never use your customer data for our own marketing.
14. Ending the service
Unless your agreement says otherwise, either of us can end the service with 15 days' written notice. Either of us can end it immediately if the other commits a material breach and, where the breach can be fixed, does not fix it within 10 days of written notice.
When the service ends, we both work to reconcile outstanding amounts and finish pending orders. Payment, reconciliation and confidentiality obligations continue after the service ends.
15. Events outside our control
Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, severe weather, floods, serious security incidents, government restrictions, strikes, widespread transport disruption or civil unrest.
16. Communication and changes
Day-to-day communication can happen on WhatsApp, email or other agreed written channels. Formal notices, such as ending the service, a material breach or a change to your agreement, must be in writing.
We may update these terms from time to time; the date below shows the latest version. Changes to your rates or agreement are only made in writing and agreed by both of us.
RapidXpk and each merchant are independent businesses. Nothing in these terms creates a partnership, joint venture or agency.
17. Governing law
These terms are governed by the laws of Pakistan. We will first try to resolve any dispute through good-faith discussion; if that fails, the courts of Karachi have jurisdiction.
